Terms of Service — Footfall Business Suite

These Terms of Service ("Terms") govern your access to and use of the Footfall Business Suite software, websites, and related services (collectively, the "Service") operated by Footfall & Co ("Footfall", "we", "us", or "our"), having its place of business at Kukatpally, Hyderabad, Telangana 500072, India.

By creating an account, subscribing to, or using the Service, you ("you", "your", the "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Footfall Business Suite is a software-as-a-service (SaaS) platform that helps small businesses manage operations including inventory, point-of-sale billing, customers, suppliers, reporting, and (on eligible plans) AI-assisted business insights. Features available to you depend on your subscription plan.

2. Eligibility & Accounts

2.1. You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872.

2.2. You are responsible for the information you provide during registration and for keeping it accurate and current.

2.3. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2.4. Each business account (a "tenant") and its data are private to that business. You must not attempt to access another business's data.

3. Subscriptions, Plans & Billing

3.1. The Service is offered on subscription plans (e.g., Basic and Pro) billed on a recurring monthly basis. Current pricing is shown in the app and on our website.

3.2. Payments are processed through our third-party payment provider, Razorpay. By subscribing, you also agree to Razorpay's applicable terms.

3.3. Subscriptions renew automatically each billing cycle until cancelled. You authorize us (via Razorpay) to charge your chosen payment method on each renewal date.

3.4. Applicable taxes (including GST) are your responsibility and may be added to the subscription price.

3.5. We may change pricing with at least 30 days' notice by email or in-app. Changes apply from your next billing cycle.

3.6. If a payment fails, we may suspend or downgrade your access until payment is resolved.

4. Free Trial (if offered)

4.1. We may offer a free trial period. At the end of the trial, your plan will convert to a paid subscription unless you cancel before the trial ends.

4.2. We may modify or withdraw trial offers at any time.

5. Cancellation

5.1. You may cancel your subscription at any time from your account settings or by contacting support@footfall.co.

5.2. Cancellation stops future renewals. Your access continues until the end of the current paid billing period, after which it ends.

5.3. Refunds are governed by our Refund Policy.

6. Your Data

6.1. You retain ownership of all data you enter into the Service ("Customer Data").

6.2. You grant us a limited licence to host, process, and display Customer Data solely to provide and improve the Service.

6.3. You are responsible for the accuracy and legality of Customer Data and for ensuring you have the right to store it (including any personal data of your customers).

6.4. Our handling of personal data is described in our Privacy Policy.

6.5. On request, and within a reasonable period after account closure, we will provide an export of your Customer Data. We may delete Customer Data after a retention period following account termination (see Privacy Policy).

7. Acceptable Use

You agree not to:

You are solely responsible for complying with all laws and regulations applicable to your business, including but not limited to licensing, drug/pharmacy regulations, record-keeping, GST, and consumer-protection requirements. The Service is a tool to assist you; it does not constitute legal, tax, accounting, or regulatory advice.

8. AI Features (Pro Plans)

8.1. Certain plans include AI-generated insights and suggestions. These are generated by third-party AI models and are provided "as is" for informational purposes only.

8.2. AI output may be inaccurate or incomplete. You must independently verify any AI suggestion before relying on it. We are not liable for decisions made based on AI output.

9. Service Availability

9.1. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

9.2. We may perform maintenance, and may modify, suspend, or discontinue features with reasonable notice where practicable.

10. Intellectual Property

The Service, including its software, design, and branding, is owned by Footfall and protected by applicable intellectual-property laws. These Terms do not grant you any ownership of the Service.

11. Disclaimers & Limitation of Liability

11.1. The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law.

11.2. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service shall not exceed the total subscription fees you paid to us in the three (3) months preceding the event giving rise to the claim.

11.3. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.

12. Indemnity

You agree to indemnify and hold harmless Footfall from any claims, damages, or expenses arising from your use of the Service, your Customer Data, or your breach of these Terms or applicable law.

13. Termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully. You may terminate by cancelling your subscription and closing your account.

14. Governing Law & Disputes

14.1. These Terms are governed by the laws of India.

14.2. Subject to applicable law, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any disputes.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app. Continued use after changes take effect constitutes acceptance.
